Dear Shareholders,
Please be advised that the Act of August 30, 2019 amending the Act - Code of Commercial Companies (KSH) and certain other acts (Journal of Laws of 2019, item 1798) concerning, inter alia, the Act of September 15, 2000 - Code of Commercial Companies (i.e. Journal of Laws of 2019, item 505 as amended) introduced new provisions concerning, inter alia, shareholder register
(Articles 3281-32815 of the Commercial Companies Code).
The amendment to the Commercial Companies Code provides that bearer shares and registered shares of joint-stock companies and limited joint-stock partnerships that are not public companies are to be in the form of a digital record, not a paper document. Therefore, our company is obliged to take steps in 2020 to enable the registration of shares in the register of shareholders kept by a selected external entity from January 1, 2021.
For this purpose, the Meeting of Shareholders of "SPOMASZ" Bełżyce S.A. will be convened, which will select such an entity. The next step will be to conclude a register-keeping agreement with the selected entity.
After the conclusion of the agreement, the company must summon shareholders five times to submit share certificates in the company and make information about the summons available on the company's website.
The first call is made by June 30, 2020.
The register of shareholders will be open to the company and each shareholder. These entities have the right to access the data contained in the register of shareholders and have the right to request the release, in paper or electronic form, of information from the register of shareholders.
From January 1, 2021, only the person entered in the register of shareholders will be considered a shareholder in the company, taking into account the Act of July 29, 2005 on trading in financial instruments.
